Liminal – Terms of Use

- These terms of use (the “Terms”) govern your use of the website [https://www.liminalcustody.com/], any mobile or desktop applications made available by Liminal, any application programming interfaces provided to access or interact with its products or services, any software or tools (the “Platform”) which is owned and operated by First Answer Pte Ltd. (“Liminal”).
- Please read the Terms carefully before using the Platform so that you are aware of your legal rights and obligations, and do not access or use the Platform if you do not agree to be bound by these Terms. By accessing or using the Platform, you expressly acknowledge and agree that you are entering a legal agreement with Liminal and have understood and agree to comply with, and be legally bound by, these Terms. These Terms shall constitute the entire agreement between you and Liminal concerning your use of the Platform.
- Liminal reserves the right, at its discretion, to vary the Terms at any time. You are advised to review the Terms on a regular basis, as you will be deemed to have accepted any variations if you continue to use the Platform after they have been posted on the Platform.
- Your use of the Platform is also subject to Liminal’s Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms. By using the Platform, you consent to the collection and use of information in accordance with such policies.
1. Content of Platform
- The Platform is intended to provide you with general information about Liminal, our products and services, and how to contact us.
- Although considerable care has been taken to ensure the Platform is accurate and up-to-date, no warranty is given as to the accuracy or completeness of any content therein, including, without limitation, the text, documents, articles, descriptions, products, software, application programming interfaces, graphics, photos, sounds, videos, interactive features, trademarks, service marks, and logos (the “Content”), and Liminal has no liability for any errors or omissions therein.
- The Platform may contain links to third-party websites that are not owned or controlled by Liminal. We are not affiliated with, have no control over, and assume no responsibility for any third-party Platform’s content, privacy policies, or practices. Access to any third-party website is at your own risk and shall be solely governed by the respective third-party website’s terms of use.
2. Use of Platform
- In accessing this Platform, you are responsible for compliance with local laws and regulations and for obtaining your own legal, tax, and financial advice. The information and services provided on the Platform are not provided to, and may not be used by, any person or entity in any jurisdiction where the provision or use thereof would be contrary to applicable laws, rules, or regulations. Some products and services described may not be available in all jurisdictions. You are responsible for ensuring that your use of the Platform complies with all applicable laws, including sanctions and export control laws.
- You agree not to use the Platform in any manner that is unlawful, fraudulent, harmful, or inconsistent with these Terms. Without limitation, you shall not: (a) attempt to gain unauthorized access to any systems or networks connected to the Platform; (b) interfere with or disrupt the Platform, servers, or networks; (c) introduce viruses, malware, or any other harmful code; (d) scrape, copy, or harvest any information from the Platform using automated means; or (e) use the Platform for any illegal or unauthorized purpose; (f) use or launch any automated system to access the Platform; or (g) circumvent, disable, or otherwise interfere with features of the Platform that govern the security or restrict use of the Platform.
3. Intellectual Property Rights
- The Content on the Platform is the property of Liminal and/or its licensors, is protected by copyright or other intellectual property laws and treaties, and may not be reproduced or appropriated in any manner without written permission of its respective owners. Liminal reserves all rights not expressly granted in and to the Platform and any Content therein.
- The Platform and its Content are provided to you for your information and personal use only and may not be used, modified, copied, distributed, transmitted, broadcast, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purposes whatsoever, without Liminal’s prior written consent.
- You may download or print one copy of any material publicly available on the Platform for your personal, non-commercial use. If you do so, you must retain all copyright and other proprietary notices contained therein.
- If you submit any information, feedback, or materials through the Platform, you grant Liminal a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive license to use, reproduce, modify, and distribute such submissions for business purposes. You represent that you have the necessary rights to provide such submissions and that they do not violate any third-party rights.
4. Warranty Disclaimers
- The Platform is provided on an “as is” and “as available” basis, and without warranties of any kind either express or implied.
- The Platform and its Content are provided for informational purposes only and do not constitute financial, investment, legal, regulatory, custody, or other professional advice. Nothing on the Platform constitutes an offer, solicitation, recommendation, or endorsement of any digital asset, financial product, or service. You should not rely on any Content on the Platform as the sole basis for any decision.
- Liminal will not be held responsible for any consequences to you or any third party that may result from the Platform being unavailable, interrupted, or subject to bugs, security breaches, or virus attacks.
- Liminal may make available or facilitate access to third-party products, services, or content ("Third-Party Services") through or in connection with the Platform. Such availability does not constitute an endorsement, sponsorship, or affiliation by Liminal.
- All interactions and transactions relating to Third-Party Services are solely between the Customer and the relevant third-party provider. The Customer's use of Third-Party Services is at their own risk and subject to the applicable third-party terms, which the Customer is solely responsible for reviewing.
- To the fullest extent permitted by applicable law, Liminal disclaims all liability arising from any Third-Party Services.
5. Limitation of Liability
- To the fullest extent permissible by law, Liminal shall not be liable for any damages or loss of any kind, arising out of your use of, or inability to use, the site.
6. Governing Law
- These Terms and the relationship between you and Liminal shall be governed by and construed in accordance with the laws of Singapore without regard to principles of conflict of laws. Any dispute, controversy, or claim arising out or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration. The arbitration shall be administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, which are deemed to be incorporated by reference into this clause. The arbitration shall be conducted by a sole arbitrator appointed in accordance with the SIAC rules. The arbitrator shall be independent, impartial, and possess expertise in commercial matters related to security and Digital Assets. The seat and venue of arbitration shall be Singapore and the language of the arbitration proceedings shall be English. The arbitration award shall be rendered in writing and shall be final and binding upon the Parties and shall be enforceable in accordance with its terms.
- If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
